Nutreco Holding BV/Norsk Hydro Seafood GSP: merger inquiry

Miss Judith Hanratty is presently serving as a member of the Competition Commission group conducting the above merger inquiry. Miss Hanratty is company secretary of BP Amoco p.l.c - formerly The British Petroleum Company plc and referred to below as "BP". Miss Hanratty has been connected with BP since 1975 either as an adviser or employee.

Since the inquiry began, we have learned that the Nutreco group of companies was formed in 1994 when Anchor Holding BV purchased the share capital of a number of direct or indirect BP subsidiaries which comprised the operating division BP Nutrition.

Miss Hanratty has confirmed to the Commission that during all her time with BP she had no direct contact with or involvement in the management and operation of BP Nutrition. The slight indirect contact she has had with that division only arose as part of her duties in connection with group wide management matters such as the management of insurance.

The Chairman of BP has also informed us that presently there is no ongoing direct business relationship between BP and Nutreco.

In the light of these circumstances, I am satisfied that the former relationship between BP and Nutreco will not affect the inquiry. If you have any objection please let me know immediately.
